Terms of Service

1. Definitions

Hil-Tech: Hil-Tech, established in Gothenburg, Sweden, specializing in software and AI application development.
Customer: The individual or entity that enters into an agreement with Hil-Tech for services.
Services: Software development, AI development, consulting, and related services provided by Hil-Tech.
Parties: Hil-Tech and the Customer together.


2. Applicability

These Terms of Service apply to all quotes, offers, services, and agreements provided by Hil-Tech, unless otherwise agreed upon in writing by both parties.
Any general terms or conditions of the Customer that conflict with these Terms will be excluded unless explicitly accepted in writing by Hil-Tech.


3. Prices and Payments

All prices listed in agreements, proposals, or offers are in SEK or Euros and are inclusive of VAT, unless stated otherwise.
Hil-Tech reserves the right to adjust its prices annually, with prior notice.
In the event of a significant price increase, the Customer has the right to terminate the agreement before the new prices take effect.


4. Payments and Late Payments

Payment must be made in accordance with the agreed-upon terms. Failure to pay on time will result in the Customer being in default.
Late payments may incur an interest of 2% per month, and Hil-Tech may suspend services until the payment is received.


5. Right of Withdrawal

Due to the customized nature of our AI and software services, the Customer waives any right to withdrawal after entering into an agreement.


6. Intellectual Property

Hil-Tech retains all intellectual property rights to the products and services developed unless explicitly transferred in writing.
The Customer is granted a license to use the deliverables only for the purposes specified in the agreement and may not modify, distribute, or resell the deliverables without written permission.


7. Confidentiality

Both parties agree to keep all confidential information private, including business plans, proprietary information, and technical data.
This obligation remains in effect for 3 years after the termination of the agreement.


8. Force Majeure

Neither party will be liable for delays or failure to perform due to causes beyond their control, including natural disasters, strikes, or government actions.
If a force majeure event continues for more than 30 days, either party may terminate the agreement in writing.


9. Indemnity

The Customer agrees to indemnify and hold harmless Hil-Tech from any claims, damages, or liabilities arising from the use of services or products supplied by Hil-Tech.


10. Limitation of Liability

Hil-Tech will not be liable for any indirect or consequential damages.
The total liability for any claims will not exceed the total fees paid by the Customer for the relevant project.


11. Governing Law

These terms are governed by the laws of Sweden. Any disputes will be subject to the exclusive jurisdiction of the courts of Gothenburg, Sweden.


12. Acknowledgement

By using Hil-Tech’s services, you acknowledge that you have read, understood, and agreed to these Terms of Service.
